By accessing or using the Forge Technologies website (forgetechnologies.com.au), purchasing our products (including the Forge Genesis smartwatch and Forge Core smart ring), downloading or using the Forge One companion application ("App"), or otherwise engaging with our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Forge Technologies Pty Ltd (ABN pending) ("Forge", "we", "us", "our").

If you do not agree to these Terms, you must not access or use our website, products, App, or services. We recommend that you print or save a copy of these Terms for your records.

These Terms should be read in conjunction with our Privacy Policy, Returns & Refunds Policy, Warranty Policy, and Shipping Information, which form part of the overall agreement between you and Forge Technologies.

"Products" means the physical goods sold by Forge Technologies, including the Forge Genesis smartwatch, Forge Core smart ring, and any accessories, replacement bands, or charging equipment.

"App" means the Forge One companion application, available for download on compatible iOS and Android devices, which is required to access the full functionality of Forge Products.

"Services" means all services provided by Forge Technologies, including the website, App, firmware updates, health data synchronisation, customer support, and any associated cloud infrastructure.

"Health Data" means biometric and health-related information collected by Forge Products, including heart rate, heart rate variability (HRV), blood oxygen saturation (SpO₂), skin temperature, sleep metrics, step count, and activity data.

"Consumer" means an individual who acquires Products or Services for personal, domestic, or household use or consumption, as defined under the Australian Consumer Law.

You must be at least eighteen (18) years of age to create an account, make a purchase, or use our Services. If you are under 18, you may only use our Services with the involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

By using our Services, you represent and warrant that you have the legal capacity to enter into a binding agreement and that all information you provide to us is accurate, current, and complete.

We make every reasonable effort to ensure that product descriptions, images, specifications, and pricing on our website are accurate and up to date. However, we do not warrant that product descriptions or other content on the website are error-free, complete, or current. Colours may vary slightly due to differences in screen display settings, photography lighting, and manufacturing tolerances.

Forge Technologies reserves the right to modify product specifications, features, pricing, and availability without prior notice. Where a material change affects an order you have already placed, we will notify you and provide the option to cancel your order for a full refund.

Product images on our website are for illustrative purposes only. While we strive to represent our products accurately, the actual product you receive may differ slightly in appearance from the images shown.

Certain Products may be available for pre-order before their official release date. By placing a pre-order, you agree to the following terms.

Payment. Full payment is collected at the time of pre-order. Your payment will be processed immediately through our payment provider, Stripe.

Estimated Delivery. Pre-order delivery dates are estimates only and are not guaranteed. Forge Technologies will make reasonable efforts to meet estimated timelines but shall not be liable for delays caused by manufacturing, supply chain disruptions, shipping logistics, or circumstances beyond our reasonable control.

Cancellation. You may cancel a pre-order at any time before the product has been dispatched for a full refund. Once the product has been dispatched, our standard Returns & Refunds Policy applies.

Specification Changes. We reserve the right to make minor modifications to pre-order product specifications prior to release. If a material change occurs that significantly alters the product from what was originally described, we will notify you and offer the option to cancel for a full refund.

All prices displayed on our website are in Australian Dollars (AUD) and include Goods and Services Tax (GST) where applicable, unless otherwise stated. Shipping costs are calculated separately and displayed at checkout before you confirm your order.

Payment is processed securely via Stripe. We accept major credit cards (Visa, Mastercard, American Express), debit cards, and other payment methods supported by Stripe in Australia. Forge Technologies does not store your full credit card details; all payment information is handled directly by Stripe in accordance with PCI DSS Level 1 compliance standards.

An order is confirmed only upon successful payment processing and receipt of an order confirmation. We reserve the right to cancel orders if pricing errors are identified, if fraud is suspected, or if products become unavailable. In such cases, you will receive a full refund.

Promotional codes, discount offers, and special pricing are subject to specific terms and conditions as stated at the time of the promotion. Forge Technologies reserves the right to modify or withdraw promotions at any time without prior notice.

Forge Technologies ships Products within Australia. Shipping methods, estimated delivery times, and associated costs are detailed on our Shipping Information page.

Risk of loss and title to Products passes to you upon delivery to the shipping address provided at checkout. Forge Technologies is not responsible for delays, loss, or damage caused by the shipping carrier once the product has been dispatched. However, where Products are lost or damaged in transit, we will work with the carrier to resolve the issue and may, at our discretion, provide a replacement or refund.

You are responsible for ensuring that the shipping address provided at checkout is accurate and complete. Forge Technologies is not liable for non-delivery or delayed delivery resulting from incorrect address information provided by you.

You may be required to create an account to access certain features of our website, App, and Services. When creating an account, you agree to provide accurate, current, and complete information and to update your information as necessary to keep it accurate.

You are solely responsible for maintaining the confidentiality of your account credentials (including passwords and authentication tokens) and for all activities that occur under your account. You agree to notify us immediately at [email protected] if you become aware of any unauthorised use of your account or any other breach of security.

Forge Technologies reserves the right to suspend or terminate your account at any time if we reasonably believe that you have violated these Terms, engaged in fraudulent activity, or if your account poses a security risk. We will provide reasonable notice before taking such action, except where immediate action is necessary to protect the security of our systems or other users.

The Forge One App is an integral part of the Forge ecosystem and is required to access the full functionality of Forge Products, including health data synchronisation, firmware updates, personalised insights, and device configuration. The following terms apply specifically to your use of the App.

Licence. Subject to your compliance with these Terms, Forge Technologies grants you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use the App on compatible devices that you own or control, solely for your personal, non-commercial use in connection with Forge Products.

No Subscription Fees. The Forge One App is provided without subscription fees. All core features, including health data synchronisation, insights, and firmware updates, are included at no additional cost. Forge Technologies reserves the right to introduce optional premium features in the future, which would be clearly identified and offered on an opt-in basis.

Updates. We may release updates to the App from time to time, including bug fixes, security patches, and new features. Some updates may be required to maintain compatibility with Forge Products. You agree to install required updates in a timely manner. Forge Technologies is not responsible for issues arising from your use of outdated App versions.

Compatibility. The App is designed for use with specific operating system versions and device types. Forge Technologies does not guarantee compatibility with all devices and is not responsible for issues arising from the use of unsupported devices or operating systems.

Restrictions. You may not: (a) copy, modify, or distribute the App; (b) reverse engineer, decompile, or disassemble the App; (c) rent, lease, lend, sell, or sublicence the App; (d) use the App for any unlawful purpose; or (e) remove, alter, or obscure any proprietary notices within the App.

Forge Products are consumer wellness devices, not medical devices. The Forge Genesis smartwatch and Forge Core smart ring are designed to provide general health and fitness information for personal wellness purposes only. They are not intended to diagnose, treat, cure, or prevent any disease or medical condition.

Health Data collected by Forge Products, including heart rate, HRV, SpO₂, skin temperature, sleep metrics, and activity data, is provided for informational and educational purposes only. This data should not be used as a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.

Accuracy Limitations. While Forge Technologies strives to provide accurate health measurements, the accuracy of sensor data may be affected by factors including (but not limited to): device fit and positioning, skin type and condition, ambient temperature, motion artefacts during physical activity, tattoos or skin markings near the sensor area, and individual physiological differences. Forge Technologies does not guarantee the accuracy, completeness, or reliability of any Health Data.

Emergency Situations. Forge Products are not designed to detect or respond to medical emergencies. Do not rely on Forge Products to alert you to health emergencies. If you believe you are experiencing a medical emergency, call 000 (Triple Zero) or your local emergency services immediately.

You acknowledge and agree that Forge Technologies shall not be liable for any health decisions made based on Health Data provided by Forge Products, or for any adverse health outcomes that may result from reliance on such data.

Our Products and Services come with guarantees that cannot be excluded under the Australian Consumer Law ("ACL"), which is set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth). Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the ACL that cannot be excluded, restricted, or modified by agreement.

Under the ACL, you are entitled to a replacement or refund for a major failure and compensation for any other reasonably foreseeable loss or damage. You are also entitled to have the goods repaired or replaced if the goods fail to be of acceptable quality and the failure does not amount to a major failure.

Acceptable Quality. Our Products are guaranteed to be of acceptable quality (that is, fit for all purposes for which goods of that type are commonly supplied, acceptable in appearance and finish, free from defects, safe, and durable, as a reasonable consumer fully acquainted with the state and condition of the goods would regard as acceptable).

Match Description. Our Products will match the description provided on our website and in our marketing materials, subject to the reasonable tolerances described in Section 04 of these Terms.

Repair, Replacement, or Refund. If a Product fails to meet a consumer guarantee, your remedy depends on whether the failure is major or minor. For major failures, you may choose a refund or replacement. For minor failures, we may choose to repair the Product within a reasonable time, or provide a replacement or refund. Please refer to our Warranty Policy and Returns & Refunds Policy for detailed procedures.

To the maximum extent permitted by law (and subject to the consumer guarantees under the ACL that cannot be excluded), Forge Technologies' total aggregate liability to you for all claims arising out of or in connection with these Terms, our Products, App, or Services shall not exceed the total amount you paid to Forge Technologies for the specific Product or Service giving rise to the claim.

To the maximum extent permitted by law, Forge Technologies shall not be liable for any: (a) indirect, incidental, special, consequential, or punitive damages; (b) loss of profits, revenue, data, business opportunities, or goodwill; (c) cost of procurement of substitute goods or services; or (d) any damages arising from your reliance on Health Data provided by Forge Products, in each case, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and whether or not Forge Technologies has been advised of the possibility of such damages.

The limitations in this section apply to the fullest extent permitted by applicable law. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, Forge Technologies' liability will be limited to the greatest extent permitted by applicable law.

All content on the Forge Technologies website and App, including but not limited to text, graphics, logos, icons, images, product designs, software, firmware, user interface designs, data compilations, and the Forge brand identity (including the names "Forge Technologies", "Forge Genesis", "Forge Core", "Forge One", and the Forge gear logo), is the property of Forge Technologies Pty Ltd or its licensors and is protected by Australian and international intellectual property laws, including the Copyright Act 1968 (Cth), the Trade Marks Act 1995 (Cth), and applicable international treaties.

You are granted a limited, non-exclusive, non-transferable licence to access and use the website and App for personal, non-commercial purposes only. You may not: (a) reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content from our website or App without our prior written consent; (b) use our trademarks, logos, or brand elements in any manner that suggests endorsement by or affiliation with Forge Technologies; or (c) use any automated means (including bots, scrapers, or crawlers) to access or collect content from our website or App.

If you submit any content to us, including product reviews, testimonials, feedback, suggestions, ideas, or other materials ("User Content"), you grant Forge Technologies a non-exclusive, worldwide, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, adapt, publish, translate, distribute, and display such User Content in connection with our business operations, marketing, and product development.

You represent and warrant that you own or have the necessary rights to submit User Content and that your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party. You agree not to submit User Content that is unlawful, defamatory, obscene, threatening, harassing, or otherwise objectionable.

Forge Technologies reserves the right to remove or refuse to publish any User Content at our sole discretion, without notice or liability.

When using our website, App, or Services, you agree not to engage in any of the following prohibited activities: (a) violating any applicable law, regulation, or third-party rights; (b) using our Services for any fraudulent, deceptive, or unlawful purpose; (c) attempting to gain unauthorised access to our systems, servers, or other users' accounts; (d) interfering with or disrupting the integrity or performance of our Services; (e) transmitting any viruses, malware, or other harmful code; (f) using our Services to collect or harvest personal information of other users; (g) impersonating any person or entity, or falsely representing your affiliation with any person or entity; or (h) using Forge Products or Health Data for any purpose other than personal wellness monitoring.

Forge Technologies reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including reporting such conduct to law enforcement authorities.

Our website, App, and Services may contain links to or integrations with third-party websites, services, or applications. These third-party services are not under the control of Forge Technologies, and we are not responsible for their content, privacy practices, or terms of use.

Key third-party services used in connection with Forge Technologies include: Stripe (payment processing), Apple App Store and Google Play Store (App distribution), and shipping carriers (order delivery). Your use of these third-party services is governed by their respective terms and privacy policies.

The inclusion of any link to or integration with a third-party service does not imply endorsement, approval, or recommendation by Forge Technologies. We encourage you to review the terms and privacy policies of any third-party services before using them.

You agree to indemnify, defend, and hold harmless Forge Technologies, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of our Products, App, or Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your User Content; or (e) any dispute between you and a third party arising from your use of our Products or Services.

This indemnification obligation will survive the termination of these Terms and your use of our Services.

These Terms remain in effect for as long as you use our website, App, Products, or Services. Forge Technologies may terminate or suspend your access to our Services at any time, with or without cause, upon reasonable notice. We will provide at least fourteen (14) days' notice before terminating your account, except where immediate termination is necessary due to a breach of these Terms, fraudulent activity, or a threat to the security of our systems.

You may terminate your account at any time by contacting us at [email protected]. Upon termination, your right to use the App and access cloud-based Services will cease. You may request deletion of your Health Data in accordance with our Privacy Policy.

Termination of your account does not affect your rights under the ACL consumer guarantees or any other rights that survive termination by their nature, including Sections 10, 11, 12, 13, 17, and 20 of these Terms.

Forge Technologies reserves the right to update, modify, or replace these Terms at any time. When we make material changes, we will: (a) post the updated Terms on our website with a revised "Last updated" date; (b) provide notice through the Forge One App; and (c) where practicable, send you an email notification if you have an account with us.

Your continued use of our website, App, Products, or Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue your use of our Services. We encourage you to review these Terms periodically.

These Terms are governed by and construed in accordance with the laws of the State of Victoria and the Commonwealth of Australia. You agree to submit to the non-exclusive jurisdiction of the courts of Victoria and any courts which may hear appeals from those courts in respect of any proceedings in connection with these Terms.

Informal Resolution. Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute with Forge Technologies informally by contacting us at [email protected]. We will endeavour to resolve disputes within thirty (30) days of receiving your written complaint.

Mediation. If a dispute cannot be resolved informally, either party may refer the dispute to mediation administered by the Resolution Institute (formerly LEADR & IAMA) in Melbourne, Victoria. The costs of mediation shall be shared equally between the parties unless otherwise agreed or ordered.

Entire Agreement. These Terms, together with our Privacy Policy, Returns & Refunds Policy, Warranty Policy, and Shipping Information, constitute the entire agreement between you and Forge Technologies with respect to the subject matter hereof and supersede all prior or contemporaneous communications, whether electronic, oral, or written.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

Waiver. The failure of Forge Technologies to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorised representative of Forge Technologies.

Assignment. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Forge Technologies. Forge Technologies may assign its rights and obligations under these Terms without restriction.

Force Majeure. Forge Technologies shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, supply chain disruptions, labour disputes, or failures of third-party services.
